Terms of Use

1. Agreement and operator

These Terms govern your use of Koala at usekoala.app and www.usekoala.app, the Koala browser demo, the Koala macOS app and its purchase and licence delivery flow.

Koala is operated by MadeofIA, based in Brazil. By using the site, demo or app, or by purchasing a licence, you agree to these Terms. If you do not agree, do not use the relevant service. Contact hello@usekoala.app.

2. The product and browser demo

Koala is a menu-bar notes app for macOS 26 or later. The app keeps notes and rich-text attachments on the Mac and supports local backup export and import. The browser demo is a separate preview: it stores demo notes in the current browser and does not provide the native app's file handling, operating-system integration or sync.

iCloud and CloudKit sync are unavailable in this release. Any future sync feature will be subject to updated product information and, where needed, updated terms.

3. Licence

Koala is offered as a one-time perpetual licence, not a recurring subscription. The current advertised price is US$9.99, one time. The price, currency and any mandatory charges shown at checkout control a purchase.

Subject to these Terms and applicable law, a purchaser receives a non-exclusive right to use the purchased version of Koala. The app verifies a signed licence file locally and stores an activated licence in the macOS Keychain. You must not share, alter or sell a licence file, bypass licence verification, or use a modified copy to avoid the purchase flow. MadeofIA does not promise free future major upgrades; a later release may have separate terms or a separate price.

4. Payment and delivery

When sales are enabled, payment is completed on Stripe's hosted Checkout page. Stripe must confirm the payment before the fulfilment service issues a licence.

The licence is sent through Cloudflare Email Service to the email address used at checkout. Purchase and delivery depend on the payment and email services being configured and available. If a licence does not arrive, contact hello@usekoala.app with the checkout reference shown by Stripe.

To request cancellation or a refund, contact hello@usekoala.app with your purchase reference. Nothing in these Terms removes a consumer right, remedy or refund entitlement that applicable law does not allow us to exclude.

5. Your notes and backups

You keep your rights in the notes, text, images and other material you create or import into Koala. The native app does not send that content to Koala servers during normal use.

You are responsible for keeping backups of information you need. Koala's backup tool creates an archive only when you choose to export it, and imported archives create restored copies rather than replacing existing notes. Keep exported archives secure because they may contain the note content you selected.

6. Acceptable use

You may not use the site, purchase service or app to break the law, interfere with the service, attack or probe the purchase service, submit malware, circumvent licence verification, or infringe another person's rights. You are responsible for the content you create, import or choose to send to support.

We may restrict access to a service when needed to protect people, systems or the integrity of a purchase, subject to applicable law.

7. Ownership

You keep your rights in notes, text, images and other content you create or import. MadeofIA and its licensors retain the Koala software, website, code, design, documentation, name and marks. These Terms do not transfer ownership of either your content or the Koala product.

8. Third-party services

Cloudflare hosts the website and web services and delivers licence email through Email Service. Stripe hosts checkout and processes payment information. Those services are operated by their own organisations under their own terms and privacy policies. Koala does not control their availability or policies.

9. Availability and product changes

We may change, pause or retire parts of the website, demo or purchase flow as the product develops. A browser demo or a site status message does not guarantee that a native build, checkout or licence delivery is available at that moment.

Koala works offline after activation because licence verification is local. Purchasing and receiving a licence require the relevant network and payment or email services.

10. Privacy

Our Privacy Policy explains how MadeofIA handles website traffic, browser demo data, purchase information, licence delivery and support messages. It forms part of these Terms.

11. Rights required by law

Koala is supplied with the consumer rights, statutory warranties and remedies that apply to you. Nothing in these Terms limits liability or a remedy where the law does not allow that limitation. If a provision is unenforceable, the remaining provisions continue to the extent permitted by law.

These Terms are governed by the laws of Brazil, subject to mandatory consumer protections and forum rights that apply where you live. The Brazilian Consumer Defence Code may apply to a consumer purchase.

Nothing in these Terms waives an applicable statutory cancellation or withdrawal right for digital content or software, or any required refund, repair, replacement or other remedy. Any such right applies on the conditions and within the periods set by the law that governs your purchase.

12. Changes to these Terms

We may update these Terms when Koala's service or legal requirements change. The date at the top identifies the current version. For a material change, we will provide notice through a reasonable available channel. Changes apply prospectively and do not retroactively reduce rights in a paid licence or rights that applicable law requires. If you do not agree to a future change, stop using the relevant service.
